Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
LedgerDex reserves the right to change or modify the terms and conditions contained in this Agreement at any time and at its sole discretion. Any changes or modifications will be effective immediately. The updated Agreement will then replace the previous version upon publishing the revisions on the site. Users may access the latest terms at any time.
LedgerDex is not based in the United States.
SERVICES
LedgerDex is a Service that allows users to retrieve information for Ethereum blockchain-based assets ("Tokens") and also allows users to create, share and discover intentions to exchange tokens ("Orders"). The exchange of involved tokens is not conducted by LedgerDex but executed by smart contracts created by a third-party (the 0x protocol) and hosted on the Ethereum Blockchain. By submitting Orders at LedgerDex, you grant to us the right to provide the Orders to other users and other third parties. We do not guarantee the identity of any provider or receiver of Orders, or the accuracy, timeliness, completeness, reliability, validity, legality, integrity, quality, usefulness or safety of Orders.
LedgerDex does not maintain user “accounts” and it does not act as a custodian of user’s assets. You understand and agree that we have no liability for or control over the safety, quality, delivery, legality or other aspects of any Tokens. You understand and agree that we are not responsible for making sure the other party with whom you transact is authorized to do the transaction or complete the transaction.
LedgerDex will not be responsible for any losses of any kind whatsoever related to your use of LedgerDex. You must proceed with caution and are solely at your own risk.
You agree to pay fees incurred by you or on your behalf. You are responsible for any taxes applicable to you.
LedgerDex does not guarantee that the service will not be interrupted, and the timeliness of the service and security are also not guaranteed, and LedgerDex does not bear the responsibility which is not caused by us.
If you do not agree to be bound by these Terms, you must not use the Service.
You represent and warrant that you will not use the Services if the laws of your jurisdiction prohibit you from doing so in accordance with these Terms.
LedgerDex does not provide services to the residents of the following countries/regions: United States.
You represent and warrant that you are not located in, under the control of, or a national or resident of following countries/regions: United States.
RULES OF CONDUCT
When accessing or using the Services, you agree that you will not violate any law, contract, intellectual property or other third-party right or commit a tort, and that you are solely responsible for your conduct while using our Services. Without limiting the generality of the foregoing, you agree that you will not:

-- Interfere with, disrupt or violate the Terms and Conditions or servers or networks connected to the Program or the Tokens; or disobey any requirements, procedures, policies, or regulations of such networks;
-- Interfere with another User's use of the Program and/or Tokens;
-- Attempt to gain unauthorized access to the Program, other accounts, computer systems, or networks connected to the Program and/or the Tokens;
-- Transmit any file that contains viruses, worms, Trojan horses, or any other contaminating or destructive features;
-- Conduct any illegal activity or solicit the performance of any illegal activity or other activity that infringes the rights of others;
-- Resell, barter, trade, auction or otherwise generate income by providing access to the Program to others;
-- Any other prohibited conduct provided in the Company’s Terms and Conditions.
RISKS
All transactions of cryptocurrencies and tokens may be subject to potential risks. Use of our Services may carry financial risk, which includes and are not limited to:
1) Trading cryptocurrencies and tokens can be very risky due to price fluctuation. 2) Cryptocurrencies and tokens might not be protected by your government and/or law authority. 3) Understanding tokens and token trading may require advanced technical knowledge. 4) You might not be able to recover lost cryptocurrencies or tokens. 5) Once a token trade is executed, it is not possible to roll back. 6) Slow internet connection speed or Ethereum blockchain network congestion might result in trade delay or failure.
You acknowledge and agree that you are aware of such risks. You agree to take related risks and take full responsibilities for any and all loss resulting from using our Services.
DISCLAIMER OF WARRANTIES
(a) to the maximum extent permitted under applicable law, and except as expressly provided to the contrary in a writing by us, our services are provided on an “as is” and “as available” basis. To the maximum extent permitted under applicable law. We expressly disclaim, and you waive, all warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement as to our services, including the information, content and materials contained therein.
(b) you acknowledge that information you store or transfer through our services may become irretrievably lost or corrupted or temporarily unavailable due to a variety of causes, including software failures, protocol changes by third party providers, internet outages, force majeure event or other disasters, scheduled or unscheduled maintenance, or other causes either within or outside our control. You are solely responsible for backing up and maintaining duplicate copies of any information you store or transfer through our services.
LIMITATION OF LIABILITY
Except as otherwise required by law, in no event shall LedgerDex, our directors, members, employees or agents be liable for any special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use our services or the company materials, including without limitation any damages caused by or resulting from reliance by any user on any information obtained from company, or that result from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from a force majeure event, communications failure, theft, destruction or unauthorized access to company’s records, programs or services.
